The Uniform Commercial Code (UCC), also known as “the backbone of American commerce” is a comprehensive set of laws governing commercial transactions in the United States. It is not federal law, but a uniformly adopted state law. Largely this means that financial institutions and businesses can enter into agreements, or contracts, for transaction services without worrying about conflicting state laws. While some state court decisions may alter interpretations of the UCC, largely, the UCC is a standard for establishing liability, warranties, obligations, and contract provisions.

The UCC is split into multiple articles. Each article has a unique function that creates specific requirements of each party entering into a contract. Institutions can find themselves in a position of increased liability if specific provisions are not properly addressed, or if they attempt to shift liability to a business client where the UCC strictly prohibits it.

This three-part series explores the junction of UCC with three payment systems: Wire Transfers, Checks, and ACH. Each session will delve into specific contract provisions, requirements, and areas of risk when contracting with clients to provide transaction services.
